These Terms of Service (“Terms”) govern your use of the NeuDesk website, products, and services (“Platform”), which are owned and operated by NeuDesk, Inc., a U.S.-based corporation. NeuDesk is available only to individuals and entities located in the United States. You must be at least 18 years old to use the Platform.

NeuDesk is an AI-powered software platform built exclusively for freelancers, solo entrepreneurs, and service-based professionals in the United States. The platform enables users to generate custom project proposals, dynamically price their services, and automatically create legally sound contracts — all within a single streamlined experience. By combining intelligent automation with flexible customization, NeuDesk helps users pitch smarter, close faster, and stay protected with professional documentation tailored to their industry and goals.

NeuDesk is not a legal firm, financial institution, or employment agency. It is a SaaS productivity tool designed to support independent business operations. All services are intended solely for users operating within the United States.

3. Account Registration

  • You must provide accurate, complete, and current information.
  • You are responsible for maintaining the confidentiality of your account and password.
  • You agree to notify us immediately of any unauthorized use of your account.

4. Subscription & Payment Terms

  • NeuDesk offers both free and paid plans.
  • Paid subscriptions are billed in advance on a monthly or annual basis.
  • All fees are non-refundable unless required by law.
  • Failure to pay will result in account suspension or termination.

5. Use Restrictions

You agree not to:

  • Use the platform for unlawful or prohibited purposes;
  • Resell or license any NeuDesk-generated content or software without written permission;
  • Interfere with the platform’s security features or infrastructure;
  • Upload or transmit any malicious code, virus, or harmful component.

6. Intellectual Property

All platform content, design, software, trademarks, and proprietary tools (including AI models) are owned by NeuDesk, Inc. You are granted a limited, revocable, non-transferable license to use NeuDesk in accordance with these Terms.

7. User Content

  • You retain rights to any content you submit or generate using the platform.
  • You grant NeuDesk a non-exclusive, royalty-free license to use, host, and store your content solely to operate and improve the service.

8. Contract Creation & Legal Disclaimer

NeuDesk provides users with AI-generated contract templates and tools for convenience only. NeuDesk is not a law firm and does not provide legal advice. By using the platform, you agree that you are solely responsible for reviewing, editing, and finalizing any contract generated through NeuDesk. NeuDesk shall not be liable for any damages, disputes, or losses resulting from the use of AI-generated contracts.

9. Termination

We may suspend or terminate your account at any time, with or without cause, and without notice. You may also cancel your account at any time. Termination will not relieve you of obligations incurred prior to termination.

10. Third-Party Services

NeuDesk may integrate or link to third-party tools (e.g., DocuSeal for e-signatures). We are not responsible for the performance or policies of these third-party services.

11. Limitation of Liability

To the maximum extent permitted by law, NeuDesk and its affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages. NeuDesk’s total liability under these Terms shall not exceed the amount paid by you to use the Platform in the previous six months.

12. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved in the state or federal courts located in Delaware, USA.

14. Amendments

We reserve the right to modify these Terms at any time. We will notify users via email or platform alert. Continued use of the Platform after changes constitutes acceptance.
